1. Agreement to Terms

By accessing and using the services and website of Iconic Business Solution Pte. Ltd. ("Company", "we", "us", "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website.

These Terms and Conditions apply to all clients, candidates, visitors, and users of Iconic Business Solution' services.

2. Services

Iconic Business Solution provides professional consultancy services including but not limited to:

• Recruitment and talent acquisition services
• Business process outsourcing (BPO) Solution
• Corporate training and development programs
• Customer experience management
• HR and workforce consulting
• Strategic business advisory

The specific terms of each service engagement will be outlined in a separate Service Agreement or Statement of Work between Iconic Business Solution and the client.

3. Client Obligations

Clients engaging our services agree to:

• Provide accurate, complete, and up-to-date information required for service delivery
• Cooperate with our team throughout the service engagement
• Pay all fees as outlined in the agreed service contract
• Maintain confidentiality of any proprietary methodologies or tools provided
• Use our services only for lawful purposes

4. Candidate Terms

Candidates using our recruitment services agree to:

• Provide accurate and truthful information in their CV, resume, and applications
• Inform us of any conflicts of interest or exclusivity arrangements
• Not accept offers through our clients directly if introduced through Iconic Business Solution within 12 months
• Maintain professional conduct throughout all recruitment processes

Candidates are not charged any fees for our recruitment services. Our fees are paid by client companies.

5. Fees and Payment

All fees for services are as agreed in the respective Service Agreement. Unless otherwise specified:

• Invoices are payable within 30 days of issuance
• Late payments may incur interest at the prevailing commercial rate
• All fees are quoted in Indian Rupees (INR) and are exclusive of GST unless stated otherwise
• Cancellation fees may apply as specified in the Service Agreement

6. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary information, trade secrets, business strategies, and sensitive data shared during the course of the engagement. This obligation survives the termination of any service agreement for a period of 3 years.

7. Intellectual Property

All training materials, methodologies, frameworks, reports, and deliverables created by Iconic Business Solution remain our intellectual property unless explicitly transferred in writing. Clients are granted a non-exclusive license to use deliverables for internal business purposes only.

8. Limitation of Liability

To the maximum extent permitted by law, Iconic Business Solution' liability to any party shall not exceed the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits or business interruption.

9. Governing Law

These Terms and Conditions are governed by the laws of the Republic of India. Any disputes arising shall be subject to the exclusive jurisdiction of the Indian courts, or resolved through arbitration in India as agreed by both parties.

10. Amendments

We reserve the right to amend these Terms and Conditions at any time. Continued use of our services following notification of changes constitutes acceptance of the revised terms. We will provide reasonable notice of material changes.
